IMPORTANT ANNOUNCEMENT FOR PHYSICAL SHAREHOLDERS
As an on-going measure to enhance ease of dealing in securities markets by investors, SEBI vide its Circular no. SEBI/HO/MIRSD/MIRSD-PoD-1/P/CIR/2023/37 dated March 16, 2023 (“the SEBI Circular”), had prescribed the common and simplified norms for processing investor’s service request by RTAs and norms for furnishing PAN, KYC details and Nomination. The circular shall come into force with effect from April 01, 2023.
This circular has been issued in supersession of the earlier circulars of the SEBI viz. Circular No. SEBI/HO/MIRSD/MIRSD_RTAMB/P/CIR/2021/655 dated November 3, 2021 and Circular No. SEBI/HO/MIRSD/MIRSD_RTAMB/P/CIR/2021/687 dated December 14, 2021.
The physical shareholders are requested to refer the SEBI circular no. SEBI/HO/MIRSD/MIRSD-PoD-1/P/CIR/2023/37 dated March 16, 2023, for detailed information and procedure.
Key highlights of the SEBI Circular:
- Mandatory furnishing of PAN, KYC details and Nomination by holders of physical securities.
- From April 01, 2023 or any other date as may be specified by the Central Board of Direct Taxes, RTAs shall accept only operative PAN (i.e., linked with Aadhaar number).
- Freezing of Folios without PAN, KYC details and Nomination on or after October 01, 2023.
- The security holder(s) whose folio(s) have been frozen shall be eligible to lodge grievance or avail any service request from the RTA only after furnishing the complete documents as mentioned in the SEBI Circular.
- The security holder(s) whose folio(s) have been frozen shall be eligible for any payment including dividend, interest or redemption payment in respect of such frozen folios, only through electronic mode with effect from April 01, 2024.
- The RTA shall revert the frozen folios to normal status upon receipt of the required documents as mentioned in the SEBI Circular.
- Frozen folios shall be referred by the RTA / listed company to the administering authority under the Benami Transactions (Prohibitions) Act, 1988 and/or Prevention of Money Laundering Act, 2002, if they continue to remain frozen as on December 31, 2025.
